  1. Account Terms
    The User (you) must agree to the following Subscription Terms of Service. The User must be a legal business in good standing to be a Menu Magnet subscriber. User must use Menu Magnet for legal purposes at all times. Users must register using legal name, address, and valid email address. Menu Magnet may reject User application for membership and/or cancel memberships for any reason at the sole discretion of Menu Magnet. User agrees that Menu Magnet will use the email address User provided as the primary communication method. It is the Users responsibility to enter Menu Magnet displayed information and confirm it correctly applies to the Users Restaurant. Content of Users website (menu) is the sole responsibility of the User and in no way is Menu Magnet responsible. Any violation will result in immediate termination of User services. By accepting this membership you agree to comply with all applicable laws and refrain from infringing upon third party rights, property, or interests. You agree that you will not knowingly or intentionally submit inaccurate, offensive, or defamatory content. The following Terms of Service can be amended at any time by Menu Magnet. Violation of any Terms of Service may result in immediate cancellation of service.
  1. Account Activation
    "Account Owner" for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the Account Owner in connection with the Service. If you are signing up for the Service on behalf of your employer, your employer shall be the Account Owner. If you are signing up for the Service on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service. Upon completion of sign up for the Service, Menu Magnet will collect your credit card to be on a secure server via Stripe not a Menu Magnet server. If you do not wish to continue using the Service, it is your responsibility to contact Menu Magnet to cancel the Service.
  1. General Conditions
    You must read, agree with, and accept all of the terms and conditions contained in this Terms of Service and the Privacy Policy before you may become a member of Menu Magnet. The parties irrevocably and unconditionally agree to submit to arbitration with respect to any dispute or claim arising out of or in connection with the agreement and Terms of Service. User and "Account Owner" agree to waive any options to class action or similar suits involving Menu Magnet. User agrees that User is never entitled to damages in excess of Users pro rated value. For example a monthly member would have access to a refund of a months subscription value and no more. User accepts that during any dispute with Menu Magnet Users information will be removed from the Menu Magnet App and no longer accessible for public use. User accepts that after any dispute has been reconciled Menu Magnet may revoke all user privileges permanently and the location will be permanently removed. You acknowledge and agree that Menu Magnet may amend these Terms of Service at any time by posting the relevant amended and restated Terms of Service on the Menu Magnet website. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or manipulate the Service without the express written permission of Menu Magnet. Menu Magnet reserves the right to cancel services to Owners at any time for civil rights, discrimination, moral or ethical reasons. We will not tolerate this and you will be banned permanently. Simply put, in the words of late Supreme court Justice Potter, "we will know it when we see it". Please do not put us in this position, we will not hesitate to exercise this option.
  1. Menu Magnet
    Menu Magnet reserves the right to modify or terminate the Service for any reason, without notice at any time. We reserve the right to refuse service to anyone, for any reason, at any time. We may, but have no obligation to, remove Materials and Accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service. Verbal or written abuse of any kind (including threats of abuse or retribution) of any Menu Magnet customer, Menu Magnet employee, member, or officer will result in immediate account termination. Menu Magnet does not pre-screen Materials and it is in their sole discretion to refuse or remove any Materials that is available via the Service. Menu Magnet reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Menu Magnet employees and contractors may also be Menu Magnet customers/merchants and that they may compete with you, although they may not use your confidential information in doing so. In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc. Menu Magnet retains the right to determine, in our sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful account owner, Menu Magnet reserves the right to temporarily disable an account until resolution has been determined between the disputing parties. In the event of an ownership dispute over a Menu Magnet account, we can freeze the account or transfer it to the rightful owner.
  1. Limitation of Liability
    User and Account Owner expressly understand and agree that Menu Magnet shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service. In no event shall Menu Magnet or our providers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our App, our site, our services or this agreement (however arising including negligence). Users use of the Service is at Users sole risk. The Service is provided on an as is and as available basis without any warranty or condition, express, implied or statutory. Menu Magnet does not warrant that the Service will be uninterrupted, timely, secure, or error-free. Menu Magnet does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable. Menu Magnet does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected. Users value of damages can not exceed users current subcsciption fee.
  1. Waiver and complete agreement
    The failure of Menu Magnet to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Menu Magnet and govern your use of the Service, superseding any prior agreements between you and Menu Magnet (including, but not limited to, any prior versions of the Terms of Service).
  1. Intellectual property and customer content
    Menu Magnet does not claim any intellectual property rights over the Materials you provide to the Service. All Materials you upload remains yours. You can remove your Services store at any time by deleting your Account. By uploading Materials, you agree: (a) to allow other internet users to view your Materials; (b) to allow Menu Magnet to display and store your menu; and (c) that Menu Magnet can, at any time, review all the Materials submitted by you to its Service. You retain ownership over all Materials that you upload to a Services store; however, by making your store public, you agree to allow others to view your Materials. You are responsible for compliance of Materials with any applicable laws or regulations. Menu Magnet, MenuMagnet.com and the Menu Magnet App is the proprietary property of Menu Magnet. All source, code, databases, function, software and designs are owned and controlled by Menu Magnet. Subscription does not grant the user any rights of this intellectual property. Memberships can not be sold or transferred
  1. Payment of fees
    A valid credit card is required for accounts able to process orders using a live payment gateway. The service will be billed in 30 day or yearly intervals based on the plan User chooses. When your billing period is over the Account Owner will be sent an invoice via the email provided. Accounts over 30 days late may be subject to revocation but are still responsible for remaining charges.
  1. Cancellation and termination
    Monthly subscriptions can be terminated by emailing support@menumagnet.com by the 15th of each month for the following month. Upon termination of the Services by either party for any reason. Menu Magnet will cease providing you with the Services and you will no longer be able to access your Account; unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise; any outstanding balance owed to Menu Magnet for your use of the Services through the effective date of such termination will immediately become due and payable in full; and your store website will be removed from service. Fraud: Without limiting any other remedies, Menu Magnet may suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.
  1. Security
    Menu Magnet Payments Service does not handle "Card Data" (defined as a cardholder's account number, expiration date and CVV2) as we do NOT receive or store card holder data. We provide a checkout page which sends "Card Data" to a merchant processor directly at time of checkout processing. We then receive a token which represents the Card Data but does not contain the Primary Account Number. We use this token to perform charge processing, and never receive, store, or use Card Data to perform processing.
